1. Agreement to Terms
By accessing or using ValueSignal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
2. Account Eligibility
You must be at least 18 years old to use ValueSignal. By creating an account, you represent and warrant that:
- You are of legal age to form a binding contract
- You will provide accurate, current, and complete information
- You will maintain and update your account information
- You are responsible for maintaining the security of your account
3. Permitted Uses
You may use ValueSignal to:
- Capture and analyze your AI conversation data to build skill profiles
- Create and manage your talent profile
- Share your profile with recruiters or potential employers
- Browse and apply to job postings (if applicable)
You agree not to use the Service for any unlawful purpose or to violate any laws, regulations, or third-party rights.
4. AI Data Usage & Model Training
4.1 Ownership of Inputs and Outputs
You retain full ownership of your original prompts, inputs, conversation data, and all user-generated content submitted to the Service. ValueSignal does not claim ownership of your intellectual property.
4.2 Use of Data for Service Improvement
By using the Service, you grant ValueSignal a limited, non-exclusive license to use, store, and process your conversation data and profile information solely for the purpose of:
- Providing the Service and generating your skill graph
- Improving our AI analysis algorithms and scoring models
- Enhancing the accuracy and reliability of skill signals
4.3 Model Training Policy
We do not use private user conversations to train ValueSignal models without explicit consent. Your conversation data is used solely to generate your personal skill graph. Aggregated, anonymized data may be used to improve system performance and accuracy, but individual conversations are never used for model training unless you explicitly opt-in.
If you wish to opt-in to allowing your anonymized data to be used for model improvement, you may do so in your account settings. You may withdraw this consent at any time by contacting us at privacy@valuesignal.ai.
4.4 Third-Party AI Provider Terms
ValueSignal integrates with third-party AI services including ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), and Cursor. Your use of these services through ValueSignal is also subject to the terms and conditions of these third-party providers. We are not responsible for the practices or policies of these third-party services.
4.5 Third-Party AI Service Availability and Errors
ValueSignal works with third-party AI services (ChatGPT, Claude, Gemini, Cursor) to analyze your conversations. ValueSignal is not responsible for:
- Downtime, outages, or unavailability of third-party AI services
- Errors, inaccuracies, or failures in third-party AI responses or outputs
- Changes to third-party AI service terms, pricing, or availability
- Data loss or corruption resulting from third-party AI service failures
- Security breaches or data incidents affecting third-party AI services
ValueSignal does not guarantee the availability, accuracy, or reliability of any third-party AI service. If a third-party AI service becomes unavailable or experiences errors, ValueSignal will use commercially reasonable efforts to restore functionality, but we are not liable for any losses or damages resulting from third-party AI service issues.
5. Intellectual Property
The Service, including its original content, features, and functionality, is owned by ValueSignal and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of your user-generated content, including conversation data and profile information. By using the Service, you grant ValueSignal a license to use, store, and process your content solely for the purpose of providing and improving the Service, as detailed in Section 4.
6. Browser Extension & Data Capture
6.1 Scope of Data Capture
ValueSignal only captures content when explicitly enabled by the user. Our browser extension captures conversation data only when you explicitly activate the capture feature. Data capture begins when you initiate a capture action and ends when you complete or cancel the capture. There is a visible "recording on/off" state, and we do not continuously monitor or record your browsing activity or conversations without your explicit consent. There is no silent background capture.
6.2 User Control and Review
You have the ultimate right to review, edit, and delete any captured signal before it becomes "live" on your profile. All captured data is stored in your account and can be managed through your dashboard. You may delete any signal at any time, and deleted signals will be permanently removed from our systems.
6.3 Private by Default
All captured signals are private by default. You choose what information is captured and what is shared on your public profile. We do not share your conversation data or skill signals with third parties without your explicit consent.
6.4 Evidence vs. Personal Data
ValueSignal distinguishes between "Evidence" and "Personal Data":
- Evidence refers to anonymized, structured representations of skills derived from your conversations, such as:
- Skill scores and capability assessments (e.g., "Problem Solving: 85/100")
- Extracted evidence snippets that demonstrate skills (e.g., "Analyzed complex data structure and proposed optimization")
- Work type classifications (e.g., "Technical Analysis", "Creative Problem Solving")
- Aggregated patterns and trends (e.g., "Strong in technical communication")
- Personal Data refers to information that directly identifies you or contains your full conversation content, such as:
- Your complete prompts and AI responses
- Account information (email, name, profile details)
- Conversation metadata (timestamps, platform identifiers)
- Any information that could be used to identify you personally
When you share your profile with recruiters or make it public, you are sharing Evidence (skill signals and anonymized evidence snippets), not your Personal Data (full conversations or identifying information). You maintain control over what Evidence is visible and can edit or delete any Evidence at any time.
7. User-Generated Content
You are responsible for all content you submit to the Service. You agree that your content:
- Does not infringe on any third-party rights
- Is not defamatory, obscene, or offensive
- Does not contain malicious code or viruses
- Complies with all applicable laws and regulations
7.5 Recruiter and Employer Responsibilities
If you are a recruiter, employer, or other third party using ValueSignal data:
- You are solely responsible for complying with all applicable employment, discrimination, and labor laws when using ValueSignal data for hiring, screening, or employment decisions
- ValueSignal signals are informational only and do not constitute employment recommendations or guarantees
- You must conduct your own due diligence and verification of candidate qualifications
- You acknowledge that AI-generated signals may contain inaccuracies or biases and should not be the sole basis for employment decisions
- You are responsible for ensuring that your use of ValueSignal data complies with GDPR, CCPA, and other applicable privacy and data protection laws
ValueSignal is not liable for any employment decisions, hiring practices, or legal violations by recruiters, employers, or other third parties using our Service.
8. Talent Signal Accuracy & Disclaimers
8.0 Signal vs. Decision
ValueSignal generates signals (informational representations), not decisions (employment or hiring determinations). Signals are designed to be interpreted by humans. ValueSignal does not act as an employment gatekeeper, automated decision-maker, or adjudicator of talent or qualifications.
8.1 AI-Generated Representation
Your skill graph and talent signals are AI-generated representations based on analysis of your conversation data. ValueSignal does not guarantee the accuracy, completeness, or reliability of these signals for employment, hiring, or career decision-making purposes.
8.2 "As-Is" Warranty
The Service and all skill signals are provided "as is" and "as available" without warranties of any kind, either express or implied. AI systems can misinterpret technical depth, hallucinate information, or produce inaccurate assessments. You acknowledge that:
- Skill signals are estimates based on AI analysis, not definitive assessments
- The Service may contain errors, inaccuracies, or omissions
- Job matches or recommendations do not guarantee employment outcomes
- You are responsible for the final interpretation and use of your skill data
8.3 Bias Disclaimer
While we strive for neutrality and fairness in our AI analysis, AI models can reflect inherent biases present in training data or algorithmic design. ValueSignal does not guarantee that skill signals are free from bias. You acknowledge that:
- AI systems may exhibit biases related to language, culture, domain expertise, or other factors
- You are responsible for reviewing and validating your skill signals
- You should not rely solely on AI-generated signals for critical career or hiring decisions
- You may contact us to report concerns about potential bias in your signals
9. Automated Decision Making & GDPR Compliance
9.1 ValueSignal Does Not Make Automated Employment Decisions
ValueSignal does not make automated employment or hiring decisions. ValueSignal is a signal-generation platform that provides informational representations of skills and capabilities. All signals are informational only and must be interpreted by humans. Recruiters, employers, and other decision-makers are solely responsible for all employment, hiring, and career-related decisions.
ValueSignal uses automated processing to generate skill graphs and talent signals for informational purposes. These signals are not automated decisions about employability, career fit, or job matching. If a third party (such as a recruiter or employer) uses your skill graph in a way that constitutes automated decision-making under applicable law, you have the right to:
- Request information about the logic involved in automated decision-making
- Request human intervention to review automated decisions
- Express your point of view and contest automated decisions
- Obtain an explanation of any automated decision that significantly affects you
9.2 Right to Deletion
You have the right to request deletion of your skill signals and profile data at any time. Upon request, we will delete your data from our systems, except where we are required to retain it for legal or regulatory purposes. If your data has been integrated into aggregated analytics or anonymized datasets, it may not be possible to remove it from those datasets, but it will no longer be associated with your identity.

10. Limitations of Liability
To the maximum extent permitted by law, ValueSignal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
- Inaccurate or misleading skill signals
- Employment decisions based on skill signals
- Loss of data or interruption of service
- Decisions made by third parties (recruiters, employers) based on your skill graph
Our total liability for any claims arising from the Service shall not exceed the amount you paid to ValueSignal in the twelve (12) months preceding the claim, or $100, whichever is greater.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may delete your account at any time. Upon termination, your right to use the Service will immediately cease.
12. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
